Alice focuses on corporate law and has broad experience on domestic and cross-border merger and acquisition transactions (representing both Brazilian and foreign clients). She has expertise on business consolidations. Her practice comprises advice on the constitution of joint ventures and other strategic alliances, as well as on corporate restructuring and reorganisation.
She assists publicly and closely held corporations, as well as boards of directors and other corporate bodies, on the adoption and implementation of corporate governance practices, and on the solution of deadlocks and corporate disputes.
She also provides legal support to investment managers in connection with the structuring and incorporation of funds, particularly those aimed at private equity and venture capital investments. Her experience further encompasses domestic and foreign investment raising, including the creation of feeder funds and offshore vehicles.
Support to investment funds and their managers includes compliance with regulation by the SEC (CVM) and by other financial and capital markets surveilling entities, as well as assistance on completion of investments and subsequent disposal of the assets making up the funds’ portfolio.
Qualified to practise law in New York (USA), she worked between 2011 and 2012 as a foreign associate in the Sidley Austin New York branch.
