Enrique is a Partner with Loeser, Blanchet e Hadad Advogados in charge of the coordination of the Transactions Practice Group, including the M&A legal and Corporate practices, São Paulo office, Brazil, with over 19 years of experience in M&A deals, legal due diligence processes, corporate restructuring transactions for multinational and local clients of the most varied business areas, including joint ventures, amalgamations, mergers and spin-offs, transfers of intercompany IP rights, foreign investments, including incorporations of wholly-owned subsidiary companies and compliance with foreign exchange regulations, project finance, employment restructuring and immigration.
Enrique has participated in several M&A deals, tender offers, corporate restructuring and compliance, and regulatory advisory assistance in local and cross-border projects, among which:
Represented a Brazil-based OEM in the automotive industry in a series of M&A transactions involving the sale of some of its local and overseas BU´s, covering territories across Latin America, North America, Europe and Asia;
Supported a State public-held registered bank in a follow-on aiming at a primary distribution and also a public tender offer for the sale of shares;
Represented two of the largest Brazilian retail players in the merger of their operations, resulting in their corporate reorganization, including the adoption of several merger and spin-off corporate steps on a post-deal integration project throughout the Brazilian territory.
Enrique has a Bachelor of Laws degree from Faculdade de Direito Milton Campos, Brazil. Master of Laws (LLM) from University of Houston Law Center, USA, as a Fulbright scholar. Member of the Legal Commission of IBGC (Brazilian Institute of Corporate Governance). Brazilian representative of the steering committee of the Permits Foundation.
