Biography

Ryan M. Philp is a trial lawyer who has represented clients in a broad spectrum of complex business, securities, and corporate litigation in state and federal courts nationwide.

Ryan concentrates his practice on cases alleging breaches of fiduciary duty or fraud arising out of M&A transactions, securities offerings, refinance transactions, contests for corporate control, alleged mismanagement, or oversight failures. He regularly represents companies, private funds, officers, and directors. He has deep experience litigating shareholder and creditor derivative actions and class actions, and also provides counseling regarding fiduciary duty compliance and best practices.

Ryan focuses on delivering strategic litigation advice tailored to his clients' objectives, and is adept at driving strategies that bring parties to the bargaining table. Where compromise is not an option, however, Ryan has experience guiding cases through trial. Recently, Ryan was a member of a trial team that achieved a full defense victory in a bet-the-company litigation, and also was a member of the trial team in one of the most prominent matters brought by the federal government arising out of the mortgage crisis, which culminated in an appellate victory dismissing all claims.

Ryan also has experience litigating matters in federal bankruptcy courts on behalf of debtors, creditors and creditors' committees. He has been involved in multiple contested hearings and bench trials in bankruptcy matters and adversary proceedings.

Ryan is a frequent author and speaker on issues of corporate governance and director and officer liability.
