Kenichi Sekiguchi is a partner and practises in mergers and acquisitions and general corporate matters, including corporate litigation regarding M&A transactions. He has notable experience in transactions involving conflicts of interests, such as management buyouts, and in cross-border M&A transactions for which he advises both international and domestic clients. His clients include various international companies and private equity funds.

He represented his corporate clients in a number of appraisal proceedings concerning going private transactions such as management buyouts, including the Jupiter Telecommunication’s Appraisal Case. He also represented a shareholder of a listed company in an injunction for the issuance of moving strike warrants. For private M&A transactions, he regularly advises his clients on disputes such as those relating to a breach of representations and warranties.

He is one of few lawyers who has considerable experience in both M&A transactions and M&A litigation. With his deep understanding of valuation theories, he provides comprehensive advice on a variety of legal issues that may arise from M&A transactions as well as M&A litigation.

He was admitted to the Bar in Japan in 2005 and in New York in 2011. He is recognised as one of the leading M&A lawyers in Who’s Who Legal: Japan 2017.
