Luis specialises in securities offerings involving US investors by foreign private and sovereign issuers, whether registered with the SEC or conducted pursuant to Rule 144A and Regulation S. He advises issuers and underwriters on various debt products, including high yield bonds, investment grade bonds, regulatory capital instruments, covered bonds and commercial paper, as well as on liability management transactions. He also advises in equity offerings such as IPOs, rights offering and block trades. Luis is based in Paris and works frequently with the Madrid office and other European offices.
Luis has advised on high yield bond offerings by Abengoa, Aperam, Befesa Zink, CGG, Loxam, Médi-Partenaires, OHL, Portucel, Rémy Cointreau and Tereos, Yankee bond offerings by BFCM, Danone, Delhaize, Schneider Electric, Societe Generale, and Solvay, debt offerings by sovereign issuers and special French entities such as SPPE and CADES and sales of covered bonds and hybrid capital into the US by French banks.
He has advised on the IPOs of Aéroports de Paris, Axia Real Estate, Banca Civica, Lar España, Medica, Merlin Properties, Parquesol and Telepizza and he has been involved in rights offerings by AXA, Axia Real Estate Banca Monte dei Paschi di Siena, Banco Popular, CGG, EDF Energies Nouvelles, FCC, Gas Natural, Klepierre, Lar España, Michelin, OHL, Peugeot, Saft, St. Gobain, Solvay and Suez.
Luis represented has also advised on the US securities aspects of Air France’s combination with KLM, CGG’s acquisition of Veritas DGC, Inc. and Holcim’s combination with Lafarge.
